1. Acceptance of Proposal
Acceptance of a project proposal and these Terms & Conditions is required before any work commences.
2. Deposit & Project Commencement
A deposit is required before work begins on any project. This secures time within the designer's schedule and confirms the booking of the project.
The deposit forms part of the total project fee and is not an additional charge.
Work will not commence until the deposit has been received.
3. Project Timelines
Project timelines are based on the schedule outlined within the proposal and are dependent on both the designer and client meeting agreed deadlines.
Should a project be delayed due to client feedback, approvals, content delivery or other client-related factors, the designer reserves the right to adjust the project schedule accordingly. If a client requests that the original deadline be maintained despite delays, a rush fee may apply.
4. Client Responsibilities
The client is responsible for providing all required content, copy, imagery and other project materials by the agreed dates.
Delays in content delivery may result in adjustments to project timelines and delivery dates. The designer is not responsible for project delays resulting from late content, feedback or approvals.
5. Revisions
The number of revision rounds included within a project will be outlined in the proposal.
Additional revisions beyond those included may be charged at the designer's current hourly rate. Major changes to approved concepts may be considered additional scope and quoted separately.
6. Scope Changes
7. Invoicing & Payment
All invoices are payable within 7 calendar days of the invoice date, unless otherwise agreed in writing. If payment remains outstanding 7 calendar days after the due date, the designer reserves the right to pause all current and future work until the outstanding invoice has been paid in full. Any project timelines affected by a payment delay will be adjusted accordingly, and the designer will not be responsible for delays resulting from overdue payment. Work will resume once the outstanding balance has been received and a revised timeline has been confirmed where required.
8. Intellectual Property
Unless otherwise agreed in writing, all concepts, drafts, working files and production files remain the intellectual property of the designer. Upon final payment, ownership of the final approved design deliverables transfers to the client.
The designer retains the right to display completed work within portfolios, websites, social media and promotional materials once the work has been publicly released, unless otherwise agreed in writing. Where a project is subject to a planned campaign launch, exhibition opening, publication date, embargo or other confidentiality requirements, the designer will not publicly display the work prior to its authorised release.
9. File Handover
Upon project completion, the client will receive the final files outlined in the proposal. These typically include final export formats suitable for print and/or digital use, such as PDF, PNG, JPEG, SVG or other agreed deliverables.
Editable or source files (including Adobe InDesign, Illustrator, Photoshop and other working files) are not included unless specifically stated within the proposal. Working files are considered the designer's proprietary intellectual property and remain the property of the designer unless otherwise agreed in writing. If a client requires editable or source files that were not included in the original project scope, these may be purchased for an additional fee. The fee will be determined based on the project scope, complexity and intended future use of the files. Where source files are expected as part of the agreed deliverables (for example, logo artwork within a branding package), this will be clearly outlined within the proposal and reflected in the project investment.
10. Project Pauses & Dormancy
If a project becomes inactive for more than 30 days due to lack of client communication, feedback or content, the project may be placed on hold.
Resuming a paused project will be subject to the designer's availability and may require timeline adjustments.
11. Cancellation
Should a project be cancelled after work has commenced, the client will be invoiced for all work completed up to the date of cancellation.
Deposits are non-refundable.
*Acceptance of the proposal, signed Terms & Conditions and payment of the deposit constitutes agreement to proceed with the project under the scope, timeline and investment outlined in the proposal.
